These Terms of Service (the “Terms”) are an agreement between you and Nalya LLC (“Nalya”, “we”, “us”) and govern your use of the Nalya console, APIs, MCP server, SDKs, mobile apps, and related services (together, the “Service”). By signing in or using the Service, you agree to these Terms and to our Privacy Policy. If you're using Nalya on behalf of an organization, you represent that you have authority to bind it, and “you” means that organization. If you don't agree, don't use the Service.
Nalya helps you manage reviews, releases, store listings, monetization, and growth analytics for apps you control on supported app-store platforms (currently Google Play, with more platforms to come). It connects to each platform through credentials you create and authorize - for example a Google Play service account - and optionally to other tools you choose to connect (such as PostHog or GitHub). Nalya can draft content and suggestions, and - with your approval or, where you enable it, automatically - take actions on the accounts you connect.
You must be at least 16 years old (and old enough to form a binding contract where you live) and legally able to accept these Terms. You're responsible for your account and everything done through it: keep your sign-in credentials, MCP keys, and ingest keys secure and confidential; provide accurate information; and only connect apps, accounts, and credentials you are authorized to manage. Notify us promptly at support@nalya.io if you suspect unauthorized access to your account or keys. We may suspend an account or revoke keys to protect the Service or its users.
Nalya is in early access (beta). The Service is offered while we continue to build it: features may change, be added, or be removed; data may need to be migrated or, in rare cases, reset; and availability, accuracy, and support are not guaranteed and no service-level commitment applies. Please keep your own authoritative records - the app-store platforms you connect remain the system of record for your apps, releases, and revenue.
Nalya is free during the open beta - we do not charge for the Service today and do not collect any payment details. The free tier includes the full supervised “see and approve” approval loop, within a monthly allowance of AI actions, and you will never be charged without first explicitly signing up for a paid plan.
Our plans - a free tier plus paid plans - are published on our pricing page. Paid plans are priced as a base plan plus a per-app amount for additional apps, and add higher usage limits, automation, and further capabilities. When paid billing goes live, the exact price, billing period, taxes, refund, and cancellation terms are shown clearly at the point of purchase before you are charged. You will be able to cancel at any time, effective at the end of the current billing period. Except where the law requires otherwise, fees for a billing period already started are non-refundable.
We may change our fees and introduce, modify, or discontinue plans. Any founding or promotional rate offered during the beta is locked for early subscribers for as long as their subscription stays active and uninterrupted, and rises to the standard rate only for new customers. If we change the price or terms of a plan you are already on, we will give you at least 30 days' written notice before the change takes effect; you may cancel before then, and continuing to use the paid Service after the effective date means you accept the new price.
You agree to use Nalya only for apps and data you have the right to manage, and in compliance with all applicable laws and with the terms of the platforms you connect - including each platform's developer agreement and policies (for example the Google Play Developer Distribution Agreement and Google Play's policies on review responses and user data), and the terms of any other connected service. You must not use the Service to: break the law or infringe others' rights; post deceptive, harassing, or abusive content (including review replies); manipulate ratings, reviews, or store rankings; process data you have no right to process; probe, disrupt, overload, or circumvent the security or rate limits of the Service; access it by automated means other than the documented APIs, SDK, and MCP server; resell or provide the Service to third parties as your own offering; or reverse-engineer the Service except where the law grants that right. We may suspend or limit accounts that put the Service or other users at risk.
Nalya's defining feature is that it can act on your connected accounts - for example posting review replies, promoting or advancing staged rollouts, or issuing refunds. How that works, and who is responsible:
Supervised by default. Every capability starts in a supervised mode where nothing is published or changed without your explicit approval. When you approve an action, you are instructing Nalya to perform it on your behalf.
Automation is opt-in and yours to control. You may enable automation per capability. If you do, you authorize Nalya to take those actions without per-action approval, and you remain fully responsible for all actions taken on your accounts through the Service - supervised, automated, or triggered through your MCP keys - as if you had taken them yourself. You can pause or disable automation at any time, and every action is recorded in your activity log.
AI output. Drafts, suggestions, translations, and analyses are generated in part by AI and may be inaccurate, incomplete, or inappropriate for your situation. They are not business, legal, or financial advice. Review AI output before relying on it or publishing it, and always before enabling automation for a capability. We are not responsible for the consequences of content or actions you approve or automate, including any effect on your standing with any connected platform.
MCP keys and APIs. MCP keys carry your full authority in the Service: any client holding a key can read your data and perform actions on your connected accounts. You are responsible for the clients (including AI assistants) you give keys to and for everything they do with them. Keep keys secret, rotate them if exposed, and revoke keys you no longer use. We may throttle or revoke keys that abuse the Service.
SDK. If you embed a Nalya SDK in your app, we grant you a limited, non-exclusive, non-transferable license to include it in apps you control. You are responsible for your app's compliance with the platforms it ships on and with privacy laws - including disclosing your use of the SDK in your privacy policy and in each platform's required data disclosures (such as Google Play's Data safety form or Apple's App Privacy details), and having a lawful basis for the events your app sends to Nalya. Don't send us data you're not permitted to share, and don't use the SDK to send sensitive personal data (such as health or financial account information).
You keep all rights to your apps, your data, and the content you connect or upload. You grant us only the limited rights needed to operate the Service for you: to access, store, process, and transmit your data to provide the features you enable and carry out the actions you approve (for example, to read your reviews, send a review to our AI provider for drafting, and post the reply you approve). The drafts and suggestions the Service generates for you are yours to use; to the extent we hold any rights in them, we assign or license them to you. We use your data as described in the Privacy Policy and never sell it. You're responsible for the accuracy and legality of the data and credentials you provide.
The Service - its software, design, models' orchestration, documentation, and content other than yours - is owned by Nalya and its licensors and protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the Service in accordance with these Terms. We welcome feedback; if you send us ideas or suggestions, we may use them without obligation to you.
The Service depends on third-party platforms - the app stores you connect (such as Google Play) and, optionally, services like PostHog and GitHub - and on infrastructure and AI providers listed in our Privacy Policy. Your use of connected third-party services is governed by their own terms, and you are responsible for maintaining your accounts and standing with them. We don't control third-party services and aren't responsible for their acts, omissions, outages, or changes; integrations may change or become unavailable if a provider changes its APIs or terms.
THE SERVICE, INCLUDING ALL AI-GENERATED OUTPUT, IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will be uninterrupted, timely, secure, or error-free; that data (including metrics and revenue figures, which may be estimates) will be accurate or complete; or that any suggestion or action will achieve a particular result, including any effect on your app's ratings, ranking, or revenue. Some jurisdictions don't allow certain warranty exclusions, so some of the above may not apply to you.
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (a) neither Nalya nor its operators, members, employees, or suppliers will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of the possibility; and (b) our total aggregate liability for all claims arising out of or relating to the Service or these Terms will not exceed the greater of the amounts you paid us in the twelve months before the claim arose and US$100. These limits apply to any theory of liability but do not exclude liability that cannot be excluded by law, such as liability for fraud, or willful misconduct or gross negligence where such exclusions are not permitted. Nothing in these Terms affects statutory rights that consumers may have where you live.
If you use the Service on behalf of a business, you will defend and indemnify Nalya against third-party claims, and the resulting damages and reasonable costs, to the extent arising from: your content or data; your apps and their treatment of their users; your violation of these Terms or of applicable law; or actions taken on your connected accounts at your instruction or under automation you enabled. We'll notify you promptly of any such claim and reasonably cooperate, at your expense.
You can stop using Nalya at any time and delete your apps or your account; deletion removes your data as described in the Privacy Policy. We may suspend or terminate your access (with notice where practicable) if you materially violate these Terms, if your use creates risk or legal exposure for us or others, if required by law, or - given the beta - if we discontinue the Service, in which case we'll give you reasonable notice and an opportunity to export your data. On termination your right to use the Service ends, and sections that by their nature should survive (including sections 8, 9, and 11-17) survive.
We're actively building Nalya and may change the Service at any time. We may also update these Terms: we'll revise the “last updated” date above and, for material changes, give you reasonable advance notice in the console or by email before the change takes effect. Your continued use of the Service after a change takes effect means you accept the updated Terms; if you don't agree, stop using the Service and delete your account.
These Terms are governed by the laws of the State of Delaware, USA, excluding its conflict-of-law rules, and the state and federal courts located in Delaware have exclusive jurisdiction over disputes that can't be resolved informally - except that if you use the Service as a consumer, you keep any protections and venue rights granted by the mandatory laws of your country of residence. Before filing any claim, you agree to contact us at support@nalya.io and give us 30 days to work with you to resolve the dispute informally. Nothing here prevents either party from seeking injunctive relief to protect intellectual property or confidential information.
These Terms, together with the Privacy Policy, are the entire agreement between you and Nalya about the Service and supersede prior agreements on that subject. If a provision is found unenforceable, it will be modified to the minimum extent necessary and the rest remains in effect. Our failure to enforce a provision isn't a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets, and will notify you if we do. Neither party is liable for delay or failure caused by events beyond its reasonable control. You are responsible for complying with any export-control and sanctions laws that apply to you.
